Deacons' Landmark Deal with Standard Chartered Bank Hong Kong (SCB)
Finance Partner Lam Wing Wo and Entertainment and Media Senior Associate Michael Leow recently advised Standard Chartered Bank Hong Kong (SCB) on the bank's first of its kind film financing project "Curse of the Golden Flower". Produced by Asia's top producer Bill Kong, this film is China's nomination for the best foreign language film category in the 2007 Oscars. This deal was a break-through transaction at many different levels: it introduced international, sophisticated legal structures and documentation for bank film financing in Hong Kong; it introduced SCB as the first Asian bank to provide production financing based on financing models normally seen on US and European deals;  and it emphasized the "internationalization" of the film business in Asia and reinforced Hong Kong as a place of creative deal making. ...

Shepherd and Wedderburn Ends a Year of Top-flight Deals with the Proposed US $6.32 billion IPO of Cairn India
Shepherd and Wedderburn LLP has crowned a year of outstanding deals by acting as lead lawyers to FTSE 100 client Cairn Energy PLC in the proposed approximately US$ 6.3 billion (implied market cap.) Indian IPO of its subsidiary, Cairn India Limited.
The team was led by Corporate Partner Paul Hally.  Cairn India is expected to float on the Bombay Stock Exchange Limited and The National Stock Exchange of India Limited at an implied market cap of US$ 6.32 billion, with gross proceeds expected to be at least Rs 86.16 billion (US$ 1.93 billion). ...

Haynes and Boone, LLP Closes $1.8B Cash Sale of ClubCorp.
Haynes and Boone has finalized the $1.8 billion sale of ClubCorp to KSL Capital Partners. ClubCorp, the leading operator of golf courses and country clubs in the world, reached an agreement to merge with KSL last October.  KSL is a private equity fund with $1 billion of committed capital in the resort and leisure industry. ...
Blackwell Sanders Team Obtains Dismissal of Qui Tam Lawsuit
The team of Jim Griffin, Steve Torline and Lori Sellers recently obtained a dismissal of a complex lawsuit for the Salina Regional Health Center involving the Federal False Claims Act commonly known as a “qui tam" lawsuit. The dismissal culminated almost 10 years of legal proceedings involving SRHC's decision to terminate a physician's hospital privileges at SRHC.
After lengthy briefing by both parties, the district court dismissed the substantive qui tam claims finding that plaintiff failed to establish that Medicare conditioned payment to SRHC on the quality of care regulations. The district court also  dismissed the retaliatory discharge claims because the plaintiff failed to file the discharge claims within the three-year statute of limitations.

Morgan & Morgan is acting as Panamanian counsel for HSBC in its acquisition of the issued and outstanding common shares of Grupo Banistmo, S.A., a Panamanian bank holding company (the largest bank in Panama and Central America).
Morgan & Morgan coordinated with HSBC headquarters in London, the HSBC transaction team, Grupo Banistmo local staff and local law firms. Assuming a 100% tender of shares of Grupo Banistmo, S.A., the size of the transaction will be US$1.77 billion, making this the largest private commercial transaction  ever undertaken in Panama and Central America.
