Johan Loubser is a director at ENSafrica in the banking and finance department and specialises in debt and preference share funding transactions; private equity funds, hedge funds and collective investment schemes and in financial services law.

Representative recent matters in his practice include:

  • representing listed corporate borrowers in term loan transactions;
  • representing a group of banks in respect of loan funding to a property fund;
  • representing issuers and bank subscribers in preference share funding transactions;
  • advising in distressed debt situations;
  • advising a bank on its customer cash sweeping and pooling products and on its overdraft terms;
  • advising asset managers on setting up co-investment funds investing in credit assets;
  • advising asset managers on the formation of South African hedge funds and the registration thereof as collective investment schemes;
  • Advising pension funds on investment into local and foreign private equity funds;
  • representing pension funds in respect of the acquisition of investment policies from insurers and the outsourcing of their pension liabilities;
  • advising insurers on the transfer of portions of their insurance business;
  • advising local and foreign financial services providers, pension funds, insurers and collective investment schemes on various registration and compliance matters.
