Profile

Lorraine Cheah graduated with LLB (Hons) (Wales), UK in 1986 and also has a master's degree in law (LLM) from the University of New South Wales, Australia. She was admitted as a Barrister-at-Law by the Middle Temple, England in 1987 and later admitted as an Advocate and Solicitor of Malaya in 1988. She has been a partner of the firm since April 1998.

Prior to joining the commercial and corporate department of Shearn Delamore & Co. in 2007, Lorraine Cheah practiced in the dispute resolution department of Shearn Delamore & Co where her area of practice was primarily in Corporate and Commercial litigation as well as media law. She has advised on the local incorporation of the banking industry as well as the listing of companies on the Bursa Malaysia, infrastructure and project development partner contracts, joint venture agreements, development and privatization agreements with the government of Malaysia as well as public private partnership agreements.

Lorraine provides legal advice on infrastructure and construction projects, joint ventures and general corporate transactions.

Professional Activities and Experience
► Acted as counsel for Malaysian Resources Corporation Berhad in their development project located at an area currently known as Kwasa Land, involving a shareholders' agreement with a subsidiary of the Employees Provident Fund, a project delivery partner management contract, management contracts for infrastructure as well as various engineering, procurement, construction and commissioning (EPCC) contracts. This project is still ongoing.

► Acted as Malaysian counsel for Mitsui Fudosan Co Ltd and Mitsui Fudosan (Asia) Pte. Ltd. (together with Mori Hamada & Matsumoto, a Japanese legal firm) in relation to their joint venture with Bukit Bintang City Development Berhad for a proposed development of an integrated retail mall and entertainment centre at the old Pudu Jail property, to be known as the "Bukit Bintang City Centre". This involved a joint venture agreement, a development agreement, a management and operational services agreement as well as lease agreements in relation to the property. This project is still ongoing.

► Acted as Malaysian counsel to Marlborough College Overseas Limited and M East Sdn. Bhd. in negotiations with Iskandar Investment Berhad for the development of Marlborough College Malaysia, a British public school, in the Iskandar Malaysia region. This project is still ongoing.

► Acted as counsel to Malaysian Resources Corporation Berhad in their Privatisation Agreement with the Government of Malaysia for the redevelopment and refitting of the Bukit Jalil Sports Complex.

► Acted as counsel for the Employees Provident Fund Board in negotiations with Taliworks Corporation Berhads for a joint venture by way of a disposal of 50 interest in Taliworks' subsidiary Pinggiran Muhibbah Sdn. Bhd., to a wholly owned subsidiary of the EPF. The subsidiary has a majority stake in the New North Klang Straits Bypass Expressway.

► Acted as counsel for Malaysian Resources Corporation Berhad negotiations with the Government of Malaysia for the termination of the highway concession agreement for the Eastern Dispersal Link in the state of Johor as well as negotiations with the junior and senior sukuk bondholders

► Acted as the Malaysian counsel for Petra Energy Bhd in its joint venture with Coastal Energy Co and the JV Company's entry into a risk service contract with Petroliam Nasional Berhad ("PETRONAS") for the Kapal Banang and Meranti cluster.
