Ryan Cox is Co-Chair of the firm’s Capital Markets and Securities Practice Group. Ryan represents issuers and investors in a wide range of corporate transactions that includes securities offerings, venture capital financings, mergers and acquisitions, recapitalizations and restructurings. Ryan also advises clients on general corporate, securities compliance and SEC reporting matters.

Ryan’s experience with public and private securities offerings includes initial and secondary offerings of equity and convertible securities, Rule 144A offerings, rights offerings and shelf registrations. Ryan also handles alternative financing transactions such as reverse-mergers and private investments in public equity (PIPEs).

Represented Paycom Software, Inc., a leader in payroll and HR technology, in its initial public offering of $114.6 million of common stock, including shares sold by selling shareholders.

Represented an OTC company in the private placement of $37.5 million of preferred equity.

Represented an investment advisor in a $9.4 million minority investment in an organic food company.

Represented an OTC company in the private placement of $49 million of preferred equity.

Represented an OTC company in the private placement of $168 million of preferred equity.

Represented Matador Resources Company, an independent oil and gas company, in its initial public offering of $178.6 million of common stock, including shares sold by selling shareholders.

Represented an OTC Company in conjunction with a $30 million rights offering.
