Heuking Kühn Lüer Wojtek advises Rantum Capital and Cedarlake Private Equity Fund I on the takeover of new high-tech company montratec

A team led by Dr. Pär Johansson and Kristina Schneider from the Cologne office of Heuking Kühn Lüer Wojtek advised Cedarlake Private Equity Fund, advised by Rantum Capital in Frankfurt, on the acquisition of the "Intralogistics" business unit, which was spun off by Freudenstadt-based family group SCHMID Group. A new high-tech company, montratec GmbH, whose majority will be acquired by Cedarlake Private Equity Fund I, will thus be established. Management of the new company and SCHMID Group, which focuses on electronics, photovoltaics, and energy systems, will hold minority interests in the company. The purchase price was not disclosed by the parties.

montratec GmbH offers highly innovative solutions for networking and automation of in-house logistics, in particular for networking robots and workstations. At the core of the technology, which was originally developed to automate the production of a world-famous Swiss watchmaker, is the intelligent and highly flexible transport system Montrac, which uses self-propelled shuttles on a mono-track.

Rantum Capital was founded in 2013 by managers from the financial industry, entrepreneurs, and former DAX board members with the aim of providing capital and networks to mid-sized companies in Germany, Austria, and Switzerland. Rantum Capital acts as a joint umbrella brand of Rantum Capital Management GmbH (debt capital) and Rantum Advisors GmbH (equity).

Cedarlake Private Equity Fund I, advised by Rantum, focuses on the acquisition of majority interests and, in individual cases, qualified minority interests in mid-sized companies in the German-speaking countries. It focuses in particular on companies whose operating business models have the potential for further expansion and optimization in China and Asia and/or whose potential for value increases are in opening up local capital market access in China and Asia. The core of the fund's investment strategy is the symbiosis of the leading global engineering market of Germany and the most dynamic and largest sales market in the world, China and Asia.

The acquisition of the montrac business unit was the first transaction on which the Cologne-based M&A team advised Rantum Capital and Cedarlake Private Equity Fund I.
