Profile

Craig Dent is a Partner in the firm's Corporate department. Mr. Dent represents clients in a wide variety of corporate, transactional, and restructuring matters. His transactional practice is primarily focused on mergers and acquisitions, private equity, corporate finance (borrower and lender-side representations), and venture capital transactions. His clients include private equity investment firms, hedge funds, investment advisers, not-for-profits, boutique investment banks, lending institutions, and public and private companies in the manufacturing, insurance, and technology industries.

Craig serves as outside general counsel to a number of companies, handling general commercial and contract matters, executive employment agreements, license agreements, distribution agreements, securities laws issues, and other matters. Craig also has extensive experience with reviewing, negotiating, and structuring investments in private equity funds, venture capital funds, hedge funds, real estate funds, and SBIC funds for financial institutions, not-for-profits, and other institutional investors, including cross-border program-related investments in foreign investment funds.

  • Ongoing representation of $1 billion investment firm in acquisitions and dispositions, along with representing its portfolio companies in transactional and other matters
  • Representation of purchaser in restructuring and acquisition of the business of an SBIC investment adviser
  • Representation of insurance services firm in acquisitions of insurance program managers and insurance services companies
  • Representation of lead investor in Series A venture capital financing for technology company with significant cross-border operations
  • Representation of lead investor in venture capital financing for media finance company
  • Ongoing representation of M&A advisory firm in connection with engagements
  • Representation of not-for-profit in structuring and negotiation of program-related investments in Ugandan investment fund
  • Representation of lenders for over $300 million in mezzanine financings
