Profile

Jerry has over 15 years’ experience in the energy, resource and infrastructure industries, such as oil & gas, chemicals, power, mining, renewable, transportation, railway, road & bridge, port, pipeline, etc.

For the first 11 years of his experience, Jerry managed and supervised certain legal affairs of China’s largest national oil and gas company. He advises clients on international business development and execution, transactional structuring, documentation, negotiation and operation. Jerry has been involved in more than 600 projects located in over 60 countries around the world. His experience includes M&A, E&P investment, project financing, international loan facilities, drilling, seismic, technical service, surface facilities engineering, offshore operations, EPCC turnkey and trading sectors. Jerry received his Juris Master Degree from Tsinghua University School of Law and his B.A., with honors, from Zhengzhou University. He is also a bearer of the US PMP credential.

Relevant Experience

The following represents examples of Jerry’s experience since joining Hunton Andrews Kurth:

  • Advised the developer on joint venture matters and an EPC project related to an oil storage and export terminal in Indonesia.
  • Advised the contractor on the consortium agreement on the EPC+O&M contract for a $4.3 billion hydropower project in Argentina.
  • Advised COOEC on the $1 billion strategic fabrication joint venture transaction between Fluor and COOEC, a CNOOC subsidiary specializing in offshore engineering and fabrication.
  • Advised ICBC and CWE on the Rural Electrification Financing Loan transaction in Ghana.
  • Advised a large Chinese SOE on its acquisition of an international oil company with assets in Egypt.
  • Advised the purchaser on the IPSC oil block acquisition in Trinidad.
  • Advised a Chinese private oil company on its share acquisition from an international oil company for assets in Iraq, Egypt, Yemen and Oman.
  • Advised a Chinese oil service company on its dispute with a Canadian oil company in relation to a drilling project in Albania.
  • Advised a Chinese biotech company on its share acquisition of a US biotech company.
  • Advised a Chinese SOE power company on its acquisition of a 947 MW wind power project in the US.

The following represents examples of Jerry’s experience prior to joining Hunton Andrews Kurth:

  • M&A project for the acquisition of the S2 Exploration Block in Yemen from Preussag.
  • M&A project for the acquisition of the North Caspian Sea Oilfield Asset in Kazakhstan from British Gas.
  • M&A project for the acquisition of the Northern Oilfields in Kuwait from Kuwait Petroleum Corporation.
  • M&A project for the acquisition of the First International Oil Company (FIOC) in the US and its Kazakhstan assets.
  • Establishment and management of five overseas subsidiaries of China’s largest national oil and gas company.
  • Development of the financed GASENE Gas Pipeline EPCC project of Petrobras in Brazil, with Buyer’s Credit financial arrangements.
  • Development of the financed VHR Oilfield Seismic Project of PetroEcuador in Ecuador, with Buyer’s Credit and Trust financial arrangements.
  • Execution of the offshore drilling EPC project in Veninsky Block with Rosneft in Russia.
  • Development of the Zarzaitine Oilfield Facilities Expansion EPCC project with SONATRACH in Algeria, acted as the Deputy Project Manager.
  • Development of the first Comprehensive Services Contract for Oilfield Optimization and Development with PEMEX in Mexico.
  • Structuring and development of the financed Early Phase Gas Infrastructure EPCC project for Ghana National Gas Company in Ghana, with Buyer’s Credit financial arrangement, acted as the Deputy Project Manager.
  • Successfully obtained all necessary legal, governmental, administrative, regulatory and industrial licenses, permits and approvals for the above oil and gas projects.
  • Organizing and supervising the internal restructuring and reorganization of over 100 upstream service subsidiaries of China's largest national oil and gas company, including establishment of JVs with Weatherford, Fractech and Halliburton.
  • Acted as a Legal Director in China's largest national oil and gas company, led an international legal team of over 40 attorneys.
