Profile

Kevin Michael represents arrangers, agents, lenders and borrowers in connection with a variety of complex financing transactions, including term and revolving loan facilities, asset-based loan facilities, letter of credit facilities and subscription facilities. He handles the refinancing and restructuring of existing financing arrangements for a wide range of purposes and industries, including skilled nursing and assisted living facilities, ambulatory surgery centers and other healthcare facilities, acquisition financings and construction loans. Kevin’s experience includes syndicated transactions, club deals and single-lender loans, whether unsecured or secured by various assets such as real estate, accounts receivable and equity interests. Kevin also represents buyers and sellers in connection with healthcare acquisitions and represents issuers, underwriters and placements agents on private securities offerings. He has substantial experience representing sponsors and developers  in connection with the procurement, development, financing and construction of various domestic and cross-border projects, in particular public-private partnerships (P3) in respect of infrastructure assets including bridges, airports and toll roads.

His work includes the development and negotiation of a wide variety of contracts, including credit agreements, guarantees, security agreements, pledge agreements, mortgages, deeds of trust, intercreditor agreements, membership interest purchase agreements, asset purchase agreements, professional services agreements, transition services agreements, operations transfer agreements, indentures, underwriting, placement and note purchase agreements, concession and lease agreements, design-build and EPC contracts, manager subordination agreements, consent, subordination, non-disturbance and attornment agreements, deposit and security account control agreements, escrow agreements, engagement, commitment and fee letters, option rights agreements, limited partnership and limited liability company agreements, side letters, amendments and waivers.

In addition, Kevin counsels clients regarding SEC corporate governance and compliance, annual and periodic reporting requirements, and compliance with existing contractual obligations.
