Profile

Anna focuses on federal income tax issues related to real estate investment trusts (REITs), synthetic and asset-backed credit risk transfer transactions, servicer advance and mortgage servicing rights financing and securitization, and other capital market transactions.

Anna has experience representing REITs, REMICs, publicly traded partnerships, and other pass-through entities. Her practice also includes the representation of issuers, underwriters and servicers in various aspects of federal income tax structuring of asset securitization and other capital markets transactions.

On a pro bono basis, she represents military veterans and families.

Relevant Experience

  • Representation of issuers and underwriters in connection with IPOs and other public and private equity and debt offerings by REITs.
  • Representation of initial purchasers in mortgage servicing rights securitizations that combine revolving variable funding notes with term asset-backed securities placed with institutional investors.
  • Representation of dealers and initial purchasers in credit risk transfer transactions in the synthetic space, with respect to GSE products, as well as private mortgage insurer risk transfer, in both onshore and offshore transactions.
  • Representation of issuer in REIT conversion from a C corporation and issuer in REIT conversion from a publicly traded partnership.
  • Representation of issuers and underwriters concerning tax issues in servicer advance facility financings.
  • Representation of issuers and underwriters concerning tax issues in private and public mortgage-backed security and debt offerings, including representation of US government agencies in mortgage loan securitization transactions.
  • Tax structuring, evaluation and representation of various securitization, resecuritization, grantor trust and fund transactions including issues regarding real estate assets, distressed assets, auto loans, US trade or business and US withholding.
  • Pro bono representation of veterans in the process of obtaining combat-related special compensation benefits.
  • Pro bono instruction on federal income tax return preparation to military volunteers who will assist military families in preparing tax returns.
