Profile

David C. Reina is a Partner in the firm’s Commercial Real Estate Development and Finance and Hospitality practices. He has experience in a wide range of transactions, including acquisitions and dispositions, financings, joint ventures, development projects, leases and real estate fund formations.

David has represented various owners, investors, managers and developers in a broad range of transactional work for hospitality, gaming, mixed-use and office projects throughout North America and Europe. In addition, he routinely represents equity funds in connection with acquisitions, dispositions, financings, joint ventures, fund formation and governance. He has also represented various corporate clients on real estate matters related to mergers and acquisitions and other corporate transactions.

David maintains an active pro bono practice representing various local charitable organizations in real estate matters.

Represented the buyer in its acquisition and financing of a $535 million 995+ key marquis-name luxury resort in south Florida, including negotiating the resort’s management and franchise agreements. The representation also included negotiating a joint venture agreement between the buyer’s owners.

Represented the seller in the $23 billion dollar global sale of its properties and loans, spanning various asset classes, including office, multifamily and hotel uses.

Represented the sponsor in the formation and ongoing administration of a $300+ million private equity fund for hospitality investments, and the administration of earlier private equity funds.

Represented the seller in the sale of its hospitality asset management platform and in the associated reorganization of one of its private equity funds.

Represented the seller in the sale of a hotel management company with approximately 425 properties under management throughout North America and abroad and in an associated corporate reorganization.

Represented the buyer in its acquisition and financing of a 590+ key hotel in Waikiki, Hawaii, including negotiating the hotel’s management and franchise agreements. The representation also included negotiating a joint venture agreement between the buyer’s owners.

Represented the buyer in its acquisition and financing of a 65,000+ square foot hospitality asset comprising meeting and event space and 780+ guest rooms in downtown Portland, Oregon. The representation also included negotiating a joint venture agreement between the buyer’s owners.

Represented the buyer in its acquisition and financing of a 700+ room centerpiece property located in Tampa, Florida, including negotiating amendments to the property’s management agreement.

Represented the buyer in its acquisition and financing of a 370+ key luxury resort in Los Cabos, Mexico, and afterwards in the negotiation of insurance and construction arrangements in connection with damage to the hotel caused by a hurricane strike.

Represented the buyer in its acquisition and financing of a 180+ key luxury hotel in Boston, Massachusetts.

Represented the buyer in its acquisition and financing of a 145+ room waterfront hotel located in Annapolis, Maryland, including negotiating the hotel’s franchise agreement.
