Faye’s practice focuses on infrastructure projects and corporate matters.

Faye has significant experience advising private companies, government-owned entities and project sponsors on a wide range of corporate transactions, including general corporate advisory matters and project financings. Prior to joining Hunton Andrews Kurth, Faye had over a decade of experience in the Legal & Compliance Department at Emirates Global Aluminium PJSC (EGA).

Representative Experience

  • Advising a Saudi-based petrochemical company on project development and finance-related matters in connection with the development and operation of its petrochemical refinery and related facilities in Rabigh, in the Kingdom of Saudi Arabia
  • Advised Global Foundries Singapore Ltd on an equipment financing
  • Advised Byco Busient Inc. and its shareholder on a framework agreement with the Abraaj group for restructuring of Byco Petroleum Pakistan Limited
  • Advised Reliance Industries Limited on a potential sale of a stake in its oil-to-chemicals unit
  • Advised Ardagh Group on a refinancing, including liaising with local counsel across 14 jurisdictions
  • Advised Abu Dhabi National Oil Company (ADNOC) on a new strategic partnership with OCI N.V. to create the largest producer of nitrogen fertilizer in the MENA region (and the largest export-focused nitrogen fertilizer platform globally)
  • Advised ADNOC on the US$19 billion disposal of an interest in ADNOC Refining to Eni and OMV
  • Advised Masdar on a pioneering waste-to-energy project in Sharjah, UAE
  • Advised Guinea Alumina Corporation (a joint venture between Mubadala Development Company and Dubai Aluminium) on the US$1.6 billion development of a bauxite mine, alumina refinery and related infrastructure in the Republic of Guinea
  • Experience with international arbitrations, including the representation of two international contractors who are respondents in an ICC arbitration in London initiated by a Middle Eastern state-owned company. The dispute concerns the development of a world-class medical facility in the Middle East with over US$3.7 billion at issue. The law of the claimant’s state applies
  • Experience preparing powers of attorney, shareholder/board resolutions and minutes and incorporation documents, among other corporate governance matters.
  • Certified Compliance and Ethics Professional (CCEP), including experience serving as a member of the EGA Compliance Team during which time responsibilities included implementing the EGA sanctions’ policies and procedures for the EGA Group, drafting and carrying out compliance training for EGA employees and investigating anonymous reports via the EGA whistleblower programme
  • Advising several clients on compliance with data protection and privacy laws in the UAE, including in response to gathering sensitive personal or medical information relating to the COVID-19 pandemic and vaccinations
