Profile
Guy lived and worked as a lawyer in Guinea for more than 17 years and has travelled and worked extensively across Francophone Africa. He is familiar with the specific legal and business cultures across sub-Saharan Francophone Africa.

Guy has act on a major acquisition of downstream petroleum assets within Guinea where he was advising the client on available structures both from a corporate and a tax perspective. Guy has attended site visits to verify the assets subject to the transaction and liaised closely with the client team involved on the transaction. He has been also handling the in-country procedures for several company incorporations and due diligence requests within Guinea.

Guy has advised extensively on joint venture (JV) agreements in Guinea and the sub-region. In particular, he is specialized in helping foreign investors understand the complexities of operating in Guinea and how to maximize the benefit of their cooperation with their local partners, assisting clients during negotiation of commercial agreements associated with the acquisition and development of projects, assistance to identify and obtain necessary approvals.

In addition to general corporate and M&A matters, Guy has extensive Mining and Natural Resources experience. He worked with the World Bank study group in developing the precedent documents for the standard mining and infrastructure concession agreements, providing advice in relation to the acquisition, feasibility assessment, development and operation of resource projects and major infrastructure projects, offering an outsourcing of tax legal and financial management to junior explorers and miners, which allow them to well manage and maintain their portfolios.

As part of his large experience in Natural Resource, Guy has advised a major gold producer on the Guinean law aspects of its loan facility from a leading New York Bank, a leading South Africa Bank, Russia bank, French Bank and World Bank

Guy and his team have also advised on security in connection with project financing., as well as ways in which this could be effective without impeding operations.

Guy and his team have conducted a tax audit assignment on behalf of the Equatorial Guinea Government for Oil & Gas producers and subcontractors and audits of Oil production share agreement for adjusting the Oil cost.

In conjunction with a US and French based law firm, he advised a US Sponsor on every facet of a complex PPP projects regarding the financing of a thermal Energy project. He is currently working for securing Solar Energy PPP project, and advises on every legal aspect from procurement strategy, tax structuring, exchange regulation, contractual documentation and risk allocation to finance structuring.
