Profile

As counsel to both banks and issuers, Janet understands the business needs driving financial transactions and the relevant legal context that applies to them. Her broad outlook enables her to advise clients comprehensively with the most productive solutions in mind.

Janet assists clients with offered transactions relating to a diverse base of assets, including mortgage insurance-linked risk transfer, synthetic credit risk transfer, residential mortgage loans (including insured and uninsured reverse mortgages), mortgage servicing rights (MSRs), and servicing advances. She has worked on financings and bilateral transactions across a wide spectrum of structures and assets, including lending and repurchase facilities. She also understands how to guide clients in sales of MSRs, excess spread, and other servicing-related assets. Her breadth of experience allows Janet to help clients act quickly on market opportunities and innovate new structures in response to investor demand.

Janet also is committed to pro bono representation for indigent and underserved clients. She has acted as pro bono counsel through her involvement with the City Bar Justice Center’s clinic at a shelter that serves homeless mothers and children and has participated in the Volunteers of Legal Services program to assist incarcerated mothers at Taconic State Prison. Janet also frequently assists with the Mobile Legal Help Center run by the New York Legal Assistance Group.

Relevant Experience

  • Represented dealers and initial purchasers in credit risk transfer transactions with respect to government-sponsored enterprise (GSE) products as well as private mortgage insurer risk transfer.
  • Represented initial purchasers and issuers in securitizations of nonperforming
    and performing HECM and proprietary reverse mortgage loans.
  • Represented issuers and initial purchasers in securitizations of nonperforming, reperforming, performing, and insured forward residential mortgage loans.
  • Represented initial purchasers and placement agents in issuances of term and revolving asset-backed securities collateralized by servicer advance receivables.
  • Represented investment banks in connection with term, revolving, and bilateral financing of GSE mortgage servicing rights.
  • Represented servicers of mortgage loans with respect to all facets of their business, including acquisitions and sales of servicing rights and loans, and financing servicer advance receivables and servicing rights through structured facilities and traditional credit facilities.
  • Represented borrowers and lenders with respect to the financing of residential mortgage loans, servicing rights, servicer advances, and residential and commercial mortgage-backed securities.
