Kate advises public companies regarding corporate governance and securities law compliance matters, including reporting and disclosure obligations under the Securities Exchange Act of 1934. She represents issuers and underwriters in public and private securities offerings.

Prior to joining Lowenstein Sandler in 2013, Kate had in-house experience at The Estée Lauder Companies Inc. and PepsiCo, Inc., where her practice included '34 Act reporting as well as compliance with the Sarbanes-Oxley Act of 2002.

Represented Corbus Pharmaceuticals Holdings Inc. (CRBP) in a $15 million registered direct offering.

Represented Revolution Lighting Technologies Inc. (RVLT) in a $16.8 million underwritten public offering.

Represented Liberator Medical Holdings Inc., a leading national direct-to-consumer provider of quality medical supplies, in its $181 million acquisition by C. R. Bard Inc.

Represented Metalico Inc. (MEA), one of the nation's largest scrap metal recyclers, in its execution of the merger agreement for the $102 million all-cash sale to Total Merchant Limited.

Represented The Estée Lauder Companies Inc. in its acquisition of RODIN olio lusso, a luxury skin care brand founded by the iconic New York stylist Linda Rodin.


On April 5, 2012, President Barack Obama signed into law the Jumpstart Our Business Startups Act, or JOBS Act. The JOBS Act was designed to improve access to the U.S. capital markets for smaller businesses, and it instructed the U.S. Securities and Exchange Commission (SEC) to amend the securities laws and conduct studies on capital formation, disclosure and registration requirements.
