Marie is Vice Chair of the firm’s Investment Management group, which has been selected as one of the preeminent practices in the United States for its representation of private funds. Marie represents investment management clients throughout the United States and internationally. Her clients include fund managers, from first-time and emerging managers to very large and well-established firms; institutional investors considering and negotiating fund investments; and fund professionals joining or separating from investment organizations. Marie specializes in structuring business transactions to maximize the achievement of clients' goals from both a business and tax perspective. She particularly focuses on venture capital funds; joint ventures; and shareholder, limited partner, and limited liability company agreements.

Speaking Engagements

The Investment Management Group is hosting its quarterly program geared toward select chief legal and compliance officers as they address important legal and regulatory issues and related operating challenges unique to investment managers. Marie DeFalco and two members from Osborne Clarke London, Tim Simmonds and Helen Parsonage, will lead the roundtable discussion "AIFMD and Other Fund Developments in the Age of Brexit: A UK Perspective." The discussion will focus on issues senior legal and compliance professionals confront in the operation or extension of their businesses in the United Kingdom and Europe. The most pressing issues facing fund managers operating or marketing in the UK and Europe in the pre- and post-Brexit environment will also be explored.

Marie DeFalco, Elaine Hughes, Scott Moss and the Investment Management Group will be hosting the Private Equity Fund of Funds Roundtable in the New York Office. The goal of the program is to bring together a small group of representatives from leading private equity fund of funds for an informal, interactive discussion.
