Martin P. Florman sits on the Firm’s Board of Directors and is Managing Shareholder of the Orange County office.  He represents global, middle market and emerging growth companies in general corporate matters, finance, mergers and acquisitions (including structuring roll-ups and tax free reorganizations), complex corporate restructuring matters and intellectual property transactional matters. He has extensive experience counseling both public and private companies on issues related to private placements, public offerings, disclosure compliance, venture finance agreements, stock options, employment agreements, corporate partnering agreements and ESOPs.

Mr. Florman’s experience includes multijurisdictional and cross border matters, spanning a number of industries including, hospitality, manufacturing, equipment rental and finance, retail, software and healthcare.  He has designed and implemented internal restructurings in a variety of settings, and has advised on a variety of high-profile transactions, including:

• Representing a private company in its sale to a multinational company, which was initially structured with a F-Reorganization;
• Represented a national dental laboratory company in connection with its formation, financing, subsequent roll-up acquisition transactions, and sale.

Mr. Florman moderates corporate strategic planning meetings and was formerly Co-Chair of the Firm’s Strategic Planning Committee (where he continues as a member).  He is currently the Chair of the Firm’s Start-Ups and Early Stage Companies Industry Group and Chair of the Firm’s Recruiting Committee.

Prior to joining Buchalter, Mr. Florman served in many roles with his prior firms, including on their national management, national recruiting (including Orange County hiring chair), strategic planning, marketing, and technology committees.
