Profile

Peter J. Rho is a Shareholder in Buchalter’s Los Angeles and Orange County offices, a member of the Firm’s Corporate practice group and Chair of the Korea practice group. Mr. Rho has ~25 years of experience as a deal lawyer, advising U.S. and international clients on domestic and cross border corporate law, mergers and acquisitions and outside general counsel matters. He serves as primary outside counsel to public and private companies and entrepreneurs in various sectors, including banking, lending, investment banking, venture capital, finance, technology, entertainment & media, real estate and general commercial business.

Mr. Rho’s MBA and experience in strategic management consulting and investment banking in Los Angeles, New York and Seoul enhances his practice as a cross border deal attorney. He has experience in the sourcing, structuring and closing of deals in a wide range of transactions, including mergers and acquisitions, private placements, public and private structured finance, commercial real estate transactions, corporate formation and governance, music, film and television production, publishing, licensing, distribution, merchandising, sponsorships and endorsements. As outside general counsel, Mr. Rho also manages client litigation, intellectual property, labor & employment and insolvency matters.

  • Representation of a South Korean conglomerate’s ~$100MM cash for stock acquisition of a California corporation involving both CFIUS and Hart-Scott-Rodino review resulting in early approvals and closing.
  • Representing issuers, underwriters, originators and servicers through [dozens of closings of] transactions involving the securitization, sale and servicing of mortgage backed securities and loans.
  • Represented U.S. based publicly traded chip manufacturer in multiple successful lawsuits against Korean conglomerate.
  • Representation of middle market investment banks and broker-dealers with various M&A transactions including multiple acquisitions and mergers.
  • Counsel to founders of a technology and entertainment start-up with Series A venture capital financing and ongoing corporate and business advice.
  • Representation of a publicly traded Korean entertainment company in connection with its entry into the U.S. market and ongoing representation for entertainment events, investments, acquisitions and various lifestyle business ventures.
  • Representation of a logistics company with over 200 offices worldwide in connection with the restructuring and reorganization of subsidiaries located throughout the United States.
  • Representation of a Korean financial institution in its sale of distressed assets to a U.S. investment bank and a consortium of international investors.
  • Representation of Korea’s largest agricultural cooperative in connection with its joint venture with France’s largest agricultural cooperative to establish and manage an investment trust management company.
