Ryan Goodman is an Executive in ENSafrica's Competition / Anti-Trust department. Ryan Goodman has 12 years of experience in all aspects of competition law in South Africa, including statutory merger notifications, complaint proceedings, cartel conduct and regulation of prohibited practices, abuse of dominance, exemption applications and the corporate leniency regime, as well as performing audits of companies. He is also closely involved with competition-related litigation.
Ryan has also developed expertise in competition law in various African jurisdictions (including the regional regulatory body, COMESA), and has assessed, filed mergers with and provided prohibited practices advice in various African jurisdictions including in Botswana, the Kingdom of eSwatini, Namibia, Tanzania, Zambia and Zimbabwe.
Ryan has acted for various large local and international companies in the corporate, retail, banking, insurance, mining, construction, telecommunications, aviation, pharmaceutical and financial services sectors.
Ryan has also developed expertise in competition law in various African jurisdictions (including the regional regulatory body, COMESA), and has assessed, filed mergers with and provided prohibited practices advice in various African jurisdictions including in Botswana, the Kingdom of eSwatini, Namibia, Tanzania, Zambia and Zimbabwe.
Ryan has acted for various large local and international companies in the corporate, retail, banking, insurance, mining, construction, telecommunications, aviation, pharmaceutical and financial services sectors.
He has been involved in a number of seminal competition law cases in South African. For example, from a mergers perspective, this includes being part of the team who acted for Energotec (in liquidation) in relation to a sale of business / assets to Stefanutti Stocks which resulted in one of the quickest turn-around times from the Competition Tribunal for the approval of a large merger under public interest considerations. From a behavioural perspective, Ryan was part of the teams that acted for Tiger Brands in the bread cartel and for Nedbank in the first voluntary market inquiry, namely the Commission's Banking Inquiry.
More recently, Ryan has been the lead attorney representing Milco SA Proprietary Limited and its ultimate controlling shareholder, namely, Central Bottling Company Group in respect of its proposed acquisition of 100% of the issued share capital of Clover Industries Limited, a major branded consumer goods company in the food and beverage industry in Southern Africa (which transaction requires notification to, and receipt of competition approval from, the competition authorities in Botswana, Namibia, the Kingdom of eSwatini and South Africa).
Ryan was also the lead attorney representing Tata Steel Global Holdings Pte Ltd and thyssenkrupp AG in relation to the South African leg of the establishment of a joint venture which intended to combine the European flat carbon steel businesses of the Tata Steel group of companies and the thyssenkrupp group of companies (the transaction was notified in 19 jurisdictions (including South Africa) and whilst approved in South Africa, was, unfortunately, ultimately prohibited in the EU).
Ryan is also the lead attorney representing Transaction Capital in a complaint initiated by the Competition Commission in relation to alleged excessive pricing on the part of its SA Taxi Finance division, for SA Taxi in the Commission's Public Passenger Transport Market Inquiry. He is also part of the team representing Tiger Brands in the Retail Market Inquiry and for PG Group in relation to the Commission's dawn raid and subsequent investigation.
Ryan is currently and has been involved in various matters in Africa, including forming part of the team that advised on the first gun jumping, abuse of dominance and collusion cases in Namibia.
He is the author of competition law related articles for Business Law and Tax Review and is a contributing editor of the Butterworth's Competition Law Reports.
Ryan also has experience as a general corporate commercial attorney.
