  • Represented Savanna, in a joint venture with KBS Capital Advisors, in the acquisition of 110 William Street.  The 32-story office tower, sold for $261 million, is located in Manhattan’s Financial District.
  • Represented a commercial real estate developer in a joint venture with a Saudi investor to purchase a development site in the Nolita neighborhood of Manhattan. The site, currently a parking garage, will be redeveloped as a luxury condominium.
  • Represented a private equity fund in its carve-out acquisition of 10 commercial heat treating facilities in the United States and Canada.
  • Represented a public manufacturer of plastic films and aluminum extrusions in its acquisition of a North American manufacturer of aluminum extrusions.
  • Represented a private equity fund in a roll-up of several manufacturers of stainless steel and aluminum tanks, including a Mexican maquiladora, and in its subsequent sale of the business to a public manufacturer of semi trailers.
  • Represented a private investment advisory firm in its acquisition of a minority interest in a manager of several hedge fund-of-funds.

  • Represented the management team of a provider of wireless lease acquisition solutions for cellular site owners in negotiating the terms of their employment and equity rollover and incentive arrangements in connection with the acquisition of the company by two private equity funds.
  • Represented debtors-in-possession in the sale of retail convenience store and petroleum distribution assets in numerous Chapter 11 Section 363 transactions, including the sale of 144 assets to a regional provider of branded petroleum products and convenience retail services and 60 assets to 25 various other purchasers.
  • Represented a public diversified manufacturing company in its sale of a manufacturer of custom fiberglass, specialized refrigerated truck bodies and trailers to one of the largest manufacturers of trailers in North America.
  • Represented an investment management and advisory firm in connection with a private placement of its common stock and preferred limited liability company interests.
