Profile

I have almost 20 years' experience as a corporate M&A adviser, and specialise in private M&A and corporate advisory matters across industries.

I am strategic and commercial in focus, and my work regularly involves leading and coordinating large transaction teams on multifaceted matters, as well as advising boards and senior executives on their duties and the management of risk.

I have particular expertise assisting clients to undertake transactions and manage strategic governance issues in highly regulated sectors, including banking, insurance, health and education.

I am a member of the Law Council of Australia's Corporations Committee and a Fellow of the Governance Institute of Australia.

  • Advised L'Oreal on its $3.7bn acquisition of Aesop.
  • Advised on a number of recent Part 9 life insurance portfolio transfers and Division 3A general insurance portfolio transfers, including for Zurich, AMP and IAG.
  • Advising on market leading insurance M&A transactions, including the sales of Suncorp Life, OnePath and CommInsure.
  • Advised on credit card and loan portfolio transfers for major Australian banks and credit providers.
  • Advised HCF and other local and international clients on acquiring and disposing of aged care facilities, home care businesses and health technology businesses.
  • Advised State and Territory governments on the landmark port privatisations in NSW ($6.82bn), Victoria ($9.7bn) and the Northern Territory ($506m), as well as on a number of restructures of government entities including Ausgrid, Landcom, Port Authority of NSW and Transport for NSW.
  • Advised Commonwealth Bank and other local and foreign owned banks, insurers and superannuation trustees on the implementation of the

    The long-awaited Bill to establish the Financial Accountability Regime (FAR) was introduced into the House of Representatives on 28 October 2021.  Importantly, while the Bill is similar in most respects to the draft legislation released for consultation in July-August 2021, it is not identical.  The proposed FAR is also not identical to the existing Banking Executive Accountability Regime (BEAR) which, if legislated, it will replace.
