Profile

Su Cheen focuses her practice on assisting clients on various aspects of private and public funds, from fund structuring, formation, marketing as well as on-going compliance issues.

Su Cheen has represented numerous international and local fund houses in getting their funds authorised by the Securities and Futures Commission in Hong Kong (SFC). She has advised on a broad range of funds authorisation ranging from plain vanilla equity and bond funds, UCITS to exchange traded funds (ETFs). She is also experienced in the MPF sphere, advising on establishment and authorisation of MPF schemes and approved pooled investment funds (APIFs) and post-authorisation and regulatory issues.

Her private funds experience include advising on the structuring and establishment of offshore hedge funds and private equity funds, as well as on legal issues concerning side letters, ISDA and prime brokerage agreements.

Authorised Funds

Advising and assisting a Mainland-based fund manager with the listing of the first sector-theme RQFII ETFs on the Hong Kong Stock Exchange. The two RQFII ETFs track the performance of the CSI Consumer Staples Index and CSI Healthcare Index.

Advising and assisting a Mainland-based fund manager with the listing of an RQFII ETF which tracks the CES China A80 Index, on the Hong Kong Stock Exchange.

Advising and assisting the trustee of an MPF scheme on the termination of two constituent funds due to the termination of the underlying APIFs.

Advising and assisting the trustee of an MPF scheme on the change of the underlying APIF into which a constituent fund invests due to the termination of the underlying APIF.

Private Funds

Advising and assisting a Hong Kong-based fund manager with the setting-up of a Cayman Islands technology fund.

Advising and assisting a Hong Kong-based fund manager with the setting-up of a Cayman Islands segregated portfolio company with an initial segregated portfolio investing in Asian and US equities.

Advising and assisting a Hong Kong-based fund manager with the setting-up of a Cayman Islands fund investing in Greater China region equities.

Advising and assisting a Hong Kong-based fund manager with the restructuring of existing classes of shares in the fund to facilitate investment in US "new issues".
