Svetlana assists clients with cross-border project finance and corporate lending transactions and has advised on award-winning projects in the energy sector.

Svetlana is a senior attorney in the energy and infrastructure team in London. She has acted for a wide range of international and domestic clients in the frontier and emerging markets of Europe, CIS, Middle East and Africa. She has significant experience in advising IFIs and DFIs and is very familiar with their requirements.

Relevant Experience

Svetlana’s recent experience includes:

  • Secondment with an investment bank operating across frontier and emerging markets during which she advised on various local currency investments in Sub-Saharan Africa, provided ad hoc advice and support on various local currency bond programmes and restructurings, developed the red-flag list for outside counsel assisting on local currency bond programmes, prepared in collaboration with various departments the LIBOR Transition Plan, assisted with the implementation of such Plan, including accession to the ISDA 2020 IBOR Fallbacks Protocol, drafting and negotiating amendments to the debt documentation and delivering presentations on LIBOR.
  • Advising on numerous debt transactions in relation to transition from LIBOR to RFR rates based on LMA, LSTA recommended forms and exposure drafts, including tailored forms developed by international financial institutions.
  • Advising a Pan-African multilateral financial institution on a project finance matter to develop a hydropower plant in Uganda.
  • Advising a debt fund for off-grid renewable energy providers in Africa on its local currency secured asset-based loan facilities, including incremental facilities, to a subsidiary of a global solar company in Sierra Leone and other countries in Africa, including on intercreditor arrangements with other providers of senior and junior debt.
  • Advising a Saudi Arabia-based company publicly listed on the Saudi exchange which produces and markets refined hydrocarbon and petrochemicals on a prepayment of its circa US$ 1 billion on-lend facility and application of the prepayment proceeds in accordance with the senior debt documentation and preparation of a comprehensive compliance manual for the use of its different departments to ensure compliance with its information, financial, environmental etc. obligations under its circa US$ 9 billion senior debt documentation.
  • Advising an international financial institution incorporated in Germany on a project financing of a new greenfield 60 MWac solar PV plant to be constructed in Cambodia and operated by a leading Chinese manufacturer of solar modules.
  • Advising an international lender to finance new 40MWp and 63MWp solar plants in Kazakhstan to be constructed and operated by the same Chinese manufacturer of solar modules and a follow-up restructuring as a result of a proposed change of the existing PRC Sponsor to a group of entities incorporated in PRC and Hong Kong.
  • Advising an international financial institution on its corporate financing to a public company whose ordinary shares are listed on the Official List of the UK Financial Conduct Authority to finance its acquisitions in Egypt, including a facility to be converted into shares of a borrower upon the occurrence of conversion trigger events.
  • Advising on a project finance transaction to develop, construct and operate the second phase for a 72MWp solar PV project in Ukraine, involving a senior and mezzanine debt provided by different finance institutions and affiliated group companies.
  • Advising an international trade and development bank on two significant debt transactions, including a loan of EUR 160 million to the Public Power Corporation in Greece, being the largest bank’s financing to date.
  • Advising an IFI on its first direct loan in an amount of up to USD 100 million, in SAR equivalent, to a leading dairy and juice producer in Saudi Arabia listed on the Saudi stock exchange.
  • Advising on and supervising local counsel in different jurisdictions with respect to a follow-up loan facility (including committed and uncommitted tranches) to the Egyptian subsidiary of the biggest yeast manufacture in the world supported by a guarantee from the Chinese parent company.
  • Advising a consortium of multinational lenders on a project finance matter that entailed the construction and operation of a 108MWp hydropower plant and a substation in Georgia.
  • Advising a consortium of lenders on a project finance transaction to construct and operate a district cooling and heating plant in Amman, Jordan.
  • Advising a consortium of multinational and domestic lenders on various transactions with one of the largest power utilities' group in Poland.
  • Advising a multinational lender on its first transport project in Mongolia by extending a debt financing to a leading local mining logistics service provider.
  • Advising a Pan-African multilateral financial institution to refinance its existing trade finance facility and provide a new term and revolver facilities to the biggest fertiliser producer in Zimbabwe.
  • Advising an IFI on a complex equity swap in one of the largest media and telecommunication corporations in Poland.
