His experience includes advising on and preparing transaction documents for complex, international commercial deals in the areas of private equity, projects structurings, commercial contracts, joint ventures, credit finance and refinance and share subscriptions and purchases. He is regularly involved in drafting, negotiating and preparing various project, financial and security documents, as well as attending to post-completion matters. He is also experienced in all phases of the legal due diligence process across a wide range of industries.

Tamrong also has advised Thai and international companies on regulatory compliance, involving multi-jurisdictional issues.

Relevant Experience

• Conducted local due diligence for Dubai and Hong Kong private equity firms in a contemplated THB 3.5 billion proposed joint venture and equity investment in a Thai public company.
• Conducted due diligence and prepared transaction documents for a global financial institution in the approximately US$ 30 million investment in shares of a publicly listed Thai company.
• Prepared due diligence and transaction documents in an M&A transaction valued at approximately THB 1 billion between a Hong Kong and a Thai financial services company, including shareholder and corporate documents for the resulting joint venture entity.
• Conducted due diligence for a Hong Kong financial institution in a proposed approximately THB 1 billion investment in a Thai luxury property developer, including advising on capital and equity restructuring documents.
• Advised a global, East Asia-based steel producer on the compliance of seven subsidiaries in Thailand with local product liability, industrial, consumer protection, advertising and labelling laws.
• Drafted a comprehensive regulatory compliance report advising on high-value public-private partnership bidding processes for water projects in Thailand for one of Europe’s largest water and waste management companies, for a contemplated approximately THB 42 billion public-private partnership bid.
• Managed case files and prepared motions in the successful defence in the court of first instance of a major European international development bank as defendant in one of the largest litigation claims in Thai history at approximately THB 190 billion.
• Advised on security documents as part of a larger finance document package for one of Thailand’s largest commercial banks in a approximately THB 66 billion syndicated loan for 2 small power cogeneration plants in Thailand, including a full set of security documentation over real estate and capital assets.
• Coordinated refinancing negotiations between borrower and syndicated lenders in an approximately THB 44 billion proposed refinancing of a large international steel producer.
