Important and Urgent Client Advisory: MCA - COVID-19 Filings

The Ministry of Corporate Affairs (“MCA”) has issued an advisory that is applicable to all Indian companies and limited liability partnerships (LLPs) registered with the MCA. As per the said advisory, all companies and LLPs are required to take the following immediate steps in order to aid social distancing for reducing transmission of COVID-19: 

  • To follow “Work from Home” as a temporary measure until March 31st 2020.

  • Work from Home policy is to be followed at “head quarters” and all “field offices” of companies and LLPs to the maximum extent possible.

  • To conduct meetings through video conferencing or other electronic /computerised means only and to avoid physical interaction.

  • To allow staggered timings for essential staff on duty to minimize physical interaction.

  • To strictly follow preventive measures including “Do’s and Don’ts” as advised by other public health authorities.

In order to check the readiness of all companies and LLPs to deal with covid-19, a new web form Company Affirmation of Readiness towards covid-19 – CAR2020 – will be deployed by the MCA on March 23rd 2020. All companies and LLP’s will be required to complete this form and file the same with the MCA in order to inform their respective readiness to deal with covid-19 threat. The filing has to be completed on March 23rd 2020 itself. Please see attached the MCA advisory for your ready reference.

It is unclear if there will be any penalties for non-compliance with either the filing of the web form or the Work from Home requirement.
