Kudun and Partners represented Quantifi Photonics Limited, a company headquartered in New Zealand and an expert in harnessing, manipulating, and measuring the physical properties of light, with respect to the indirect share acquisition of SmarTest Thailand Ltd., a designer and manufacturer of high-speed test and measurement equipment used in optical communication, semiconductor manufacturing, and defense and aerospace industries.

Our team assisted the company by conducting legal due diligence and advising on various requirements of the transaction in Thailand within a limited time, which include application with the Board of Investment, advising on the Foreign Business Act, employment issues, assisting with the bank account opening in Thailand as well as coordinating with seller’s advisor, attending various meetings and conference calls to complete the transaction. The acquisition aims to provide Quantifi Photonics with the capacity to accelerate product development for 800G transceiver test market and expand production capabilities. The acquisition includes research and development and manufacturing facilities in the city of Buriram, Thailand.

The transaction was led by Troy Schooneman, and Kongkoch Yongsavasdikul, partners of the firm together with senior associate, Supatra Kerinsaguna, and assisted by associates; Kwanchanok Khunanukhun, Chuenkamol Viriya.
