Heuking Kühn Lüer Wojtek advises Elmos Semiconductor SE on divesting its 200mm wafer fabrication

A team led by Sonja Groht and Marion Sangen-Emden, both Partners at Heuking’s Düsseldorf office, legally advised publicly listed Elmos Semiconductor SE (‘Elmos’) on the sale of its 200mm wafer fabrication activities (‘FAB’) at the Dortmund site to Silex Microsystems AB (‘Silex’).

As part of the transaction, Elmos will transfer all relevant assets, contracts, and employment relationships directly linked to wafer manufacturing to a newly founded, stand-alone foundry operation. At closing, Silex will acquire 100 percent of the shares in this entity. Elmos and Silex also entered into a long-term supply agreement until at least 2027 for wafers manufactured at FAB. The transaction, which is subject to customary closing conditions and regulatory approvals, has a volume of about EUR 85 million.
