Consortium Centro América Abogados – El Salvador Advises Deutsche Bank and Barclays in the Issuance of Senior Guaranteed Notes for US$310,000,000 by the Salvadoran Subsidiaries of AES

March, 2013 - San Salvador, El Salvador

CAESS, CLESA, EEDO and DEUSEM, electricity distribution companies in El Salvador, subsidiaries to AES, issued through AES El Salvador Trust II, a trust form under Panamanian law, Senior Guaranteed Notes for US$310,000,000 due March 28, 2023 bearing interest at the rate of 6.75% per year. The Notes were issued under Rule 144A and registered before the Irish Stock Exchange.

Consortium Centro America Abogados – El Salvador advised Deutche Bank Securities and Barclays, which structured the issuance, in aspects of Salvadoran laws related with the Offering Circular and prepared guaranty documents for the local entities of AES.

The transaction, which closed successfully on March 28, 2013, is AES second issuance of this kind in El Salvador. The first issuance took place in 2006, with an issuance of notes due 2016 for US$300MM. In such transaction, Consortium also advised the underwriter.
