January, 2014 - Richmond, Virginia

DALLAS — January 24, 2014 — Hunton & Williams LLP advised FVNB Corp. and its wholly owned subsidiary First Victoria National Bank headquartered in Victoria, Texas, in a merger agreement with Prosperity Bank. The stock-and-cash deal was valued at $374 million and named Houston Business Journal’s Deal of the Year 2013 in the banking category. The award given by this publication goes to “gamechangers in the industry” and is judged on deal size, whether it changed the competitive landscape and if the deal signaled significant development and investment. Additionally, the deal was ranked as the 7th largest deal in 2013 by American Banker.

According to the publication, the transaction gives Prosperity Bank more of a presence in the Woodlands and Eagle Ford Shale area of Texas. The deal, closed November 1, 2013, will also bring a $540 million-asset trust business to Prosperity. FVNB has 34 locations in Texas. Prosperity Bank has 243 branches in Texas and 9 in Oklahoma.
