Acquisition of Vat Holding AG

Credit Suisse Securities (USA) LLC and UBS Securities LLC as Joint Lead Arrangers and Joint Bookrunners and UBS AG, Stamford Branch as Administrative Agent, Collateral Agent and L/C Issuer and certain other Lenders entered into a transaction for the financing of the acquisition of Vat Holding AG by Capvis and Partners Group. Capvis is a leading Swiss mid-market private equity fund and Partners Group a global private markets manager. Vat Holding AG is a global market leader in the development, manufacture and sale of vacuum valves for the semiconductor and vacuum coating industries as well as for the research sector, with annual sales of more than 300 million Swiss Francs and a staff of over 1,000 employees (more than 600 in Switzerland). Vat Holding AG is headquartered in Switzerland. The transaction closed on 11 February 2014.
