JEANTET ADVISES ORSANA IN CONNECTION WITH ITS FINANCING

Paris, April 20, 2023 – Jeantet has advised Orsana, a holding company with several subsidiaries, including Eco Delta, independent producers of renewable energy, in connection with a global financing transaction.
The global financing transaction relates to a revolving credit facility, under the terms of an agreement entered into on April 6, 2023 between Orsana, as borrower, and Caisse Régionale de Crédit Agricole Mutuel du Languedoc, as arranger, agent, security agent and initial lender, intended to finance a portion of the borrower’s general corporate purposes and the development costs of the projects owned by the borrower’s French subsidiaries.
Associated with a bond issue pursuant to a subscription agreement entered into on April 6, 2023 between Orsana, as issuer, and FPCI OCCTE OCCIGEN, SOFILARO DETTE PRIVEE and SMALT ENR, each as subscriber, intended in particular to (i) finance or partially refinance the development costs of the projects held by the issuer’s French subsidiaries and/or (ii) partially finance its equity requirements for the construction of the projects held by the issuer’s French subsidiaries, as the case may be.
