Profile

Her experience also includes leading a rural healthcare provider through chapter 11 bankruptcy proceedings. This valuable experience makes Andrea a key member of Waller's multidisciplinary team focused on addressing the challenges facing distressed hospitals in an economic landscape where facility closures are increasingly common.

As the General Counsel of a regional health system serving rural communities, Andrea helped the system expand through hospital acquisitions and the negotiation of arrangements with more than 20 physician practices in Texas and Oklahoma. She negotiated joint ventures for the development of an ambulatory surgery center, and the acquisition of two hospitals and a mobile imaging business. In addition to overseeing transactional matters, Andrea was responsible for HIPAA and HITECH Act compliance, contract management, clinical laboratory compliance, all change of ownership procedures for hospitals and clinics, CLIA licenses, and Medicare and Medicaid provider numbers. She also negotiated with the Department of Justice and the Office of Civil Rights on various legal matters.

Earlier in her career, Andrea served as General Counsel at a tech startup that developed and successfully monetized a mobile application that allows users to make and receive calls without incurring roaming or international charges. In this role, Andrea prepared all documentation for forming the company, protected the company's intellectual property assets and strategic interests by drafting intellectual property, non-compete, non-disclosure, employment and contractor agreements, and negotiated licensing agreements with licensees of the company's software. She also guided the company through capital-raising activities involving a venture capital fund.

Andrea was the youngest partner ever elected at a Miami bankruptcy and restructuring boutique where she operated and restructured business organizations in Chapter 11 cases. Serving as counsel to a Chapter 7 Trustee, Andrea successfully managed and oversaw the administration of a $900 million Ponzi scheme case.

Andrea is licensed in Florida and Texas, two states seeing particularly high rates of healthcare growth spending.
