Profile

Aurelio Orrillo is the partner in charge of the Pamplona office. He has spent his entire professional career at J & A Garrigues, firstly in the Seville office and then in San Sebastian. He specializes in commercial law and litigation.
In corporate matters, he has extensive experience in acting as board secretary, providing global advice to boards and board committees as secretary or legal adviser. In this capacity, he organizes all manner of shareholders’ meetings, assisting the chairman and resolving any disputes that may arise in the course of such meetings. He is the legal adviser and nondirector secretary of various companies, including listed companies.
He also works on implementing and developing corporate governance rules for listed or large companies.
He habitually advises on the negotiation and performance of corporate transactions for the integration or disassociation of shareholders or businesses (mergers, spin-offs, carve-outs, etc.) and for the acquisition of companies or assets and liabilities (M&A transactions). He has wide-ranging experience in the management and resolution of pre-litigation situations deriving from disputes between shareholders.
Aurelio also advises on international joint venture transactions and processes for the internationalization of Spanish companies abroad.
In the context of the above transactions, he has experience in the resolution of antitrust law issues that may arise regarding the size of the operators, the transaction or the market (notification to competent authorities, etc.).
He also provides advice on and performs refinancing and real estate transactions (regulation of shopping centers, licenses, etc.).
He also has extensive experience in the resolution of pre-litigation queries and issues in the area of intellectual and industrial property law. He habitually advises on the legal implementation of family protocols at corporate (bylaws) and personal (wills, incapacity planning, etc.) level.
In litigation matters, he has a wealth of experience in defining the procedural strategy in both court and arbitration proceedings and in the conduct of such proceedings.
In particular, in insolvency matters, he has led work for the acquisition of production units or assets of insolvent companies, coordinating the relationships between the court, the insolvency manager and the company.
He is an expert in Navarra provincial law.
He is an associate lecturer on corporate law at Universidad Pública de Navarra. He has collaborated with Universidad de Navarra, teaching classes on the Master’s Degree in Business Law. He currently coordinates and teaches classes in Corporate Law on the University Master’s Degree for Access to the Legal Profession at Universidad Pública de Navarra.
From 2013 to 2016, Aurelio Orrillo has been included as one of the best Spanish lawyers in the commercial law and M&A areas by US publication Best Lawyers.
