Ferdinand’s practice focuses on asset and project finance transactions in the international energy and transportation sectors.

Ferdinand has extensive experience representing sponsors, investors and lenders in all aspects of the acquisition, development and financing of a variety of energy generation assets. In addition, Ferdinand advises financial institutions in connection with the debt and lease financing of commercial and corporate aircraft and other big ticket equipment used in the energy and transportation industry.

Relevant Experience

  • Represent electricity trader established by the government of Nigeria in connection with the negotiation of power purchase agreements and related liquidity facilities issued by commercial banks and backed by World Bank PRGs.
  • Represented joint venture between subsidiary of global IPP and US investment bank in connection with the project financing of distributed generation and utility scale solar assets in the United States and the Caribbean.
  • Represented US insurance company in connection with the purchase of $138 million multi tranche “zero coupon” debt securities issued by European railway operator.
  • Represent IPP in connection with the private placement of senior fixed, floating and revolving rate notes backed by contracted revenues from the sale of power at a 62.5 MW wind farm in Pennsylvania.
  • Represented senior lender providing a loan to a vehicle shipment service provider in South Africa secured by vehicle shipment equipment and revenues from shipment services agreement with consortium of international shipping lines.
  • Represented Hrvatska Elektroprivreda, the national electricity company of the Republic of Croatia, with the drafting and negotiation of project documents following the international tender for the design, engineering, financing, construction, operation and maintenance of a new €800 million, 500 MW coal-fired power plant at Plomin in Istria, Croatia.
  • Represented the European Bank for Reconstruction and Development and participating development finance institutions in connection with a $450 million financing of open pit copper mine development in Mongolia.
  • Represented the African Development Bank in connection with the creation of an ADB sponsored private equity fund targeting investments in small to medium sized renewable energy power projects across sub-Saharan Africa.
  • Represented private equity backed IPP in connection with the development and construction and term financing of 350MW of wind projects in the United States, including the qualification for Section 1603 cash grants and renewable energy credits and related bridge financings.
  • Represent Concentrix GmbH in connection with turnkey supply of new concentrated photovoltaic modules to Fortune 10 multinational energy corporation for first US CPV (concentrated photovoltaic) solar project in the United States.
  • Regular representation of financial institutions in connection with the financing of commercial and corporate aircraft, aircraft engines, flight simulators, rolling stock, LNG vessels, dry bulk carriers, drill ships and other big-ticket assets across the globe including in Australia, the European Union, Hong Kong, India, Kazakhstan, the PRC, Russia, Singapore, South Africa and the United States. Representative transactions include advising (i) senior lender in connection with participation in $1.25 billion secured financing of construction and delivery of Liquefied Natural Gas (LNG) tankers for European integrated shipping company and (ii) lenders making senior loan to engine leasing and trading company secured by commercial aircraft engine pool.
  • Represented lead arranger and senior lender in connection with US $144 million senior secured financing for private equity fund's acquisition of 650 MW simple cycle, gas-fired, peaking power plant located in Illinois.
  • Represented developer in connection with $170 million acquisition and financing of natural gas exploration and exploitation licenses and related gas fired electricity generation station in the United Kingdom.
  • Represented equity investors in connection with $2 billion leveraged lease financing of hydroelectric power generating plant and transmission grid located in Western Europe.
  • Represented independent energy company in connection with the financing of oil and gas exploration activities in the Democratic Republic of Congo and Tanzania.
  • Represented arranger and senior lender in connection with $72 million leveraged recapitalization of energy infrastructure fund involving monetization of cash flows generated by fund's portfolio of electricity generation and transmission assets.
  • Represented UK fund manager in connection with establishment of African agriculture fund and related fund investments in Africa.
  • Represented lead arranger and senior lender in connection with financing of various commodity mining projects in the United States, Mexico and Burkina Farso.
  • Represented aircraft lessors and equity investors in connection with restructuring of Atlas Air, Inc.’s $1 billion EETC leveraged lease obligations with respect to its Boeing 747-400 freighter fleet in Chapter 11 proceeding.
  • Represented equity investors in connection with the restructuring of aircraft financing agreements in Delta, Northwest, Independent Air and FLyi, Inc. chapter 11 proceedings.
