Shepherd and Wedderburn Powers Up Cash Deal for Infinis of £176.6 million

UK law firm Shepherd and Wedderburn has acted for Infinis (a Terra Firma company) in the acquisition of the entire share capital of the companies which operate Minsca Windfarm, Dalswinton Windfarm and Slieve Divena Windfarm from Scottish and Southern Energy plc for £176.6 million, in a cash deal.

Minsca and Dalswinton, both in Scotland, produce 36.8 and 30 megawatts respectively. They began operations in 2008 and have a 15 year power purchase agreement (PPA) with a utility offtaker, while Slieve Divena wind farm began in 2009 and has a PPA with Airtricity for 14 years.

Infinis is the UK's leading purely renewable energy company, and this acquisition has increased its wind energy capacity from 77MW to 174MW as it aims to develop capacity of 230MW of installed power by 2013.

Led by corporate finance partner Daniel Lee and banking partner Patrick Bell, the Shepherd and Wedderburn deal team comprised a mix of expertise from across corporate, banking, tax, energy, planning, construction, and property divisions.
