LAWIN Advised Komas and Funds Managed by CapMan in the Creation of Europe’s Leading Engineering Industry Manufacturing Partner, Fortaco

LAWIN acted as Estonian counsel to Komas and funds managed by CapMan (listed on NASDAQ OMX Helsinki Ltd) in the combination of Komas and Rautaruukki’s (listed on NASDAQ OMX Helsinki Ltd) engineering division to create Fortaco. LAWIN’s responsibilities included legal advice on Estonian law aspects and assistance upon effecting the transaction with respect to the Estonian subsidiaries of Komas.
Fortaco is headquartered in Helsinki, Finland and had 2012 annual turnover (pro forma) of approximately EUR 270 million. Fortaco has production sites in Finland, Estonia, Poland, Hungary and Slovakia and employs approximately 2,600 employees.
LAWIN team was led by partner Martin Simovart, senior associate Heleri Tammiste and associate partner Pirkko-Liis Harkmaa (overall management and carrying out of the project) and partner Marina Tolmatshova (in financing matters).
