Consumer Protection Department Report Secretariat of Commerce Resolution No. 485/2021: Law No. 27,545 – Regulation of Subsection c) of Article 7

Secretary of Commerce Resolution No. 485/2021, published in the Official Gazette on May 12th, 2021, regulates subsection C) of Article 7 of Law of Supermarket Shelves No. 27,545 [1], which establishes that the cheapest products per unit of measure must be situated at an equidistant height between the first and last shelf. The Resolution establishes that the value to be considered is the lowest in the price list offered to the consumer on a “non-transitory basis”, i.e., the lowest price may not arise from offers, bonuses, or discounts of any kind and it establishes the list of products that are included in the Resolution for its commercialization in retail stores [2]...

Bruchou & Funes de Rioja and Beccar Varela advise on Vista’s notes issuances

Buenos Aires, 13 March 2023. On March 3rd, Vista Energy Argentina S.A.U. issued the simple and non-convertible into shares notes, Class XVIII and Class XIX Notes, both denominated in U.S. dollars, integrated and payable in Argentine pesos (the “Notes”). Class XVIII was issued for US$118,542,307 and Class XIX for US$16,457,693, totaling US$135,000,000. The Notes were issued under the company’s Global Program of up to US$800,000,000 (or its equivalent in other currencies or units)...

Buenos Aires, February 24th, 2023. On February 14th, 2023, Hidrotec S.A. (“Hidrotec”) carried out its first Notes Issuance (Series I Notes) under the PYME CNV Garantizadas regime (SME Guaranteed Regime). Series I Class I Notes, issued for a total nominal amount of US$3.950.672, are maturing on February 14th, 2025, and will not accrue interest. In addition, the principal of the Notes will be amortized in three payments structured as follows: (i) the first payment, equivalent to 33% of the nominal value, at 18 months; (ii) the second payment, equivalent to 33% of the nominal value, at 21 months; and (iii) the third payment, equivalent to 34% of the nominal value, at 24 months...
